Does a partnership or multi-member LLC file Form 5472?

Which structures file Form 5472, which file something else, and why Form 5472 Desk only serves one of them.

Summary

Our answer: Form 5472 is filed by reporting corporations, meaning a U.S. corporation that is at least 25% foreign-owned, a foreign corporation engaged in a U.S. trade or business, or a U.S. disregarded entity wholly owned by a foreign person. A U.S. LLC with two or more members is classified as a partnership by default (Treas. Reg. 301.7701-3(b)(1)(i)), so it is not a reporting corporation and does not file Form 5472 for itself; it files a partnership return, Form 1065, unless it had neither income nor deductible expenses. If the multi-member LLC elected to be taxed as a corporation and is 25% foreign-owned, it files a full Form 1120 with Form 5472. Form 5472 Desk covers only the single-member case.

Multi-member LLC = partnership by default (Treas. Reg. 301.7701-3(b)(1)(i)) = Form 1065, not Form 5472. Single-member LLC wholly owned by a foreign person = pro forma 1120 + Form 5472.

Our verdict

Count the members first. One foreign owner: Form 5472 with a pro forma 1120, the case we prepare. Two or more members: you are in partnership territory (Form 1065), and Form 5472 is not the form for the LLC itself; take it to a professional who prepares partnership returns.

Who this page is for, and who it is not for

For: founders who formed a U.S. LLC with a co-founder, a spouse or a foreign company and are unsure which return applies. Not for: anyone looking for help with Form 1065 or partner withholding; we do not prepare those.

Common questions

Does a partnership file Form 5472?

Not for itself: Form 5472 is filed by reporting corporations. A multi-member LLC taxed as a partnership files Form 1065 instead. Its foreign partners may have their own U.S. filing questions, which a professional should review.

Two foreign spouses own our LLC 50/50. Is that single-member?

Not by default: two members make a partnership under Treas. Reg. 301.7701-3(b)(1)(i). Whether a specific ownership arrangement can be treated otherwise is a question for a U.S. tax professional; Form 5472 Desk stops at any second owner.

Our multi-member LLC elected to be a corporation. Now what?

It is then a corporation: if at least 25% foreign-owned, it files a full Form 1120 with Form 5472 attached, not a pro forma one. That is outside our packet.

Does Form 5472 Desk file with the IRS?

No. It prepares a self-review packet and checklist. The user reviews, signs where required, and files through the official IRS mail or fax path.

Does this product provide tax advice?

No. It is self-help software for a narrow packet-preparation lane. Treaty positions, ECI analysis, transfer pricing, reasonable cause, notices, and representation are outside scope.
